effective as of: 1 July 2026
1.1. Information about the Service Provider. The provider of graphic design services under these Terms and Conditions is:
1.2. Terms and Conditions. The Service Provider has issued these General Terms and Conditions (hereinafter also the "Terms"), which, in accordance with Section 1751(1) of Act No. 89/2012 Coll., the Civil Code, as amended (hereinafter also the "Civil Code"), govern the mutual rights and obligations of you, as the customer (hereinafter the "Customer"), and the Service Provider arising in connection with or on the basis of an agreement for the provision of graphic design services (hereinafter the "Agreement"). These Terms form an integral part of each Agreement unless expressly agreed otherwise. An Agreement is also concluded where an order or quotation issued by the Service Provider is accepted orally, by telephone, by message, or by any other means that clearly indicates acceptance of the offer. In such cases, these Terms also become part of the Agreement, provided that the Customer was informed of their existence or had the opportunity to review them before the Agreement was concluded.
1.3. Precedence. The terms of a specific order or quotation that differ from these Terms shall take precedence. All of the Customer's general terms and conditions are excluded from any relationship between the parties.
2.1. Subject matter. The subject matter of the Agreement is the Service Provider's obligation to perform the graphic design services for the Customer specified in an order, quotation, or other communication between the parties (hereinafter the "Graphic Design Services"), and the Customer's obligation to pay the agreed fee for those services.
2.2. Conclusion of the Agreement. The Customer may request Graphic Design Services at any time. In response to such a request, the Service Provider will send a quotation under which the Customer may order the Graphic Design Services. The Agreement is concluded when the Service Provider confirms the order or when the Customer proceeds to pay the deposit specified in the quotation. The Service Provider reserves the right not to confirm an order. These Terms form an integral part of every Agreement.
2.3. Form. The Agreement may be concluded by any means recognised under the Civil Code as giving rise to a contract, in particular in writing (by email or order), orally, by telephone, or through another commonly used communication channel, as well as by the Customer's acceptance of a quotation (for example, by paying a deposit, sending a confirmation message, or engaging in other conduct that leaves no reasonable doubt as to acceptance of the offer). In all such cases, these Terms form part of the Agreement regardless of whether they were expressly provided to the Customer, provided that the Customer was informed of their existence or had the opportunity to review them before the Agreement was concluded.
2.4. Additional work. If the Customer requests services that are not included in the order or quotation, or that exceed the agreed scope, such services constitute additional work. Additional work will be charged at the hourly rate agreed in the quotation or order (Article 2.2 of these Terms), unless the parties expressly agree in writing on a fixed fee. The Service Provider is not obliged to carry out additional work if it falls outside the Service Provider's area of expertise or the Service Provider does not have sufficient capacity. Discussions concerning additional work do not affect the Customer's obligation to pay for Graphic Design Services performed within the originally agreed scope.
3.1. Materials and instructions. The Customer is responsible for the accuracy, completeness, and legality of the materials and instructions provided to the Service Provider, as well as for ensuring that no third-party rights prevent their use. If the materials or instructions are unsuitable, the Service Provider may suspend the provision of the Graphic Design Services until they have been supplemented or corrected. The Service Provider is not liable for defects caused by incorrect, erroneous, or incomplete materials supplied by the Customer.
3.2. Cooperation. Throughout the term of the Agreement, the Customer must provide the requested cooperation, in particular by supplying materials on time, commenting on submitted proposals, and ensuring the availability of decision-makers. If the Customer fails to provide the necessary cooperation, the Service Provider is entitled to suspend the provision of the Graphic Design Services. The Service Provider's deadlines shall be extended by the duration of the Customer's delay and by a reasonable period required to resume the work in a continuous manner, but in any event by at least 5 business days.
3.3. Deadlines. If the parties agree on a deadline for performance, that deadline applies to delivery of the first proposal (the first interim deliverable) to the Customer, not to final completion or acceptance of the work. The time required for subsequent rounds of revisions, processing the Customer's feedback, and final completion is not included in the agreed deadline and depends in particular on the scope and timeliness of the feedback and on the Customer's cooperation under Article 3.2 of these Terms. Unless expressly agreed otherwise, an agreed deadline shall not be considered an essential term of performance (a fixed-date obligation within the meaning of Section 1980 of the Civil Code).
3.4. Progress updates. At the Customer's express request, the Service Provider is willing to provide progress updates on the number of hours worked. Such information is indicative only and does not affect the agreed price where the price is a fixed amount. For hourly engagements, the Service Provider shall also provide the Customer, upon request, with a detailed breakdown of hours worked. If the Customer sets a budget (hourly) limit for the engagement, the Service Provider shall make reasonable efforts to notify the Customer as the limit approaches. Neither such notification nor any failure to provide it extinguishes the Service Provider's entitlement to payment for hours actually worked.
3.5. Delivery of deliverables. The Service Provider shall deliver the outputs of the Graphic Design Services to the Customer electronically by email or via a shared link (for example, Figma, OneDrive, or another storage platform). The Customer must provide feedback or accept the deliverable within 5 business days of it being made available. If the Customer does not respond within this period, the deliverable shall be deemed accepted.
4.1. Print preparation. The Service Provider prepares graphic files intended for printing in accordance with customary printing standards. The Customer must ensure that the relevant printer carries out an adequate pre-press check before printing begins and informs both the Customer and the Service Provider if any technical deficiencies are identified. The Service Provider is not liable for any errors arising during the printing process itself, errors arising when the Customer or printer enters, imports, or modifies data in printing or other software, or deficiencies resulting from the printer's failure to carry out the necessary pre-press check.
4.2. Colour. Deliverables are generally prepared in the CMYK colour space for print and RGB for digital use. Minor colour differences between a digital preview and a physical print are technically normal and do not constitute a defect in the Graphic Design Services. Before full production begins, the Customer must always request a print proof from the printer. If the Customer has any concerns about the proof, the Customer must inform the Service Provider and must not proceed with full production until the Service Provider has responded.
5.1. Price. The price for the Graphic Design Services is set out in the quotation or order. If, during performance, additional work proves necessary or the scope changes, the Service Provider may request a reasonable increase in the price and suspend the provision of the Graphic Design Services until the parties agree on how to proceed.
5.2. Hourly rate. Where remuneration is agreed on an hourly basis, the applicable hourly rate is set out in the quotation or order. The hourly rate may vary depending on the scope and nature of the Graphic Design Services.
5.3. Taxes. Unless expressly stated otherwise, prices are quoted exclusive of VAT.
5.4. Rush delivery. If the Customer requests rush delivery within a shortened timeframe, the Service Provider is entitled to charge a rush fee of 50% of the hourly rate. The Customer shall always be informed in advance that a rush fee will be charged and of the amount of that fee.
5.5. Travel expenses and time lost to travel. The Service Provider is entitled to charge reasonable expenses for travel outside the Service Provider's place of business requested by the Customer, including the return journey. Unless agreed otherwise, the Service Provider is entitled to invoice travel expenses and time spent travelling (combined) at 50% of the agreed hourly rate. The Service Provider shall inform the Customer of such costs in advance.
5.6. Fees for hours worked. Where remuneration is agreed on an hourly basis, the Service Provider is entitled to payment for all hours actually and reasonably worked, regardless of whether the work has been completed or accepted by the Customer. This entitlement also arises where the work remains incomplete for reasons attributable to the Customer, in particular a failure to cooperate, repeated, expanding, or contradictory feedback, or changes to the brief. The Customer's approval of a deliverable or completion of the work is not a condition for the Service Provider's entitlement to payment for hours worked.
5.7. Invoicing. Unless otherwise agreed in writing, the Service Provider issues an invoice with a 15-day payment term on the last calendar day of each month in which the Graphic Design Services were provided, regardless of the project's stage of completion. Invoices are sent electronically to the Customer's email address.
5.8. Deposit. For selected projects, particularly those priced at a fixed fee, the Service Provider may require a deposit under the conditions set out in the quotation. A deposit may also be required for ongoing ad hoc engagements.
5.9. Late payment. If the Customer is late in making a payment, the Service Provider is entitled to charge a contractual penalty of 0.25% of the outstanding amount for each commenced day of delay. The application of Section 2050 of the Civil Code is excluded.
6.1. Revision rounds. The price includes a maximum of 2 rounds of revisions for each individual deliverable, unless the quotation or order states otherwise. Any further revisions or changes to the brief are considered additional work and will be charged at the hourly rate agreed in the quotation or order (Article 2.2 of these Terms), or at a fixed fee if agreed in writing.
6.2. Definitions. For the purposes of these Terms:
a) A revision round means a set of the Customer's comments on one delivered version of a deliverable, submitted together and in writing (by email or Figma comments) within the period specified in Article 3.5 of these Terms.
b) A change to the brief means a change to the specifications compared with deliverables already approved, or a request for work beyond the agreed scope.
c) Corrections of obvious errors (such as spelling mistakes or colours or dimensions that differ from the approved specifications) do not count towards the number of revision rounds.
6.3. Acceptance. The Graphic Design Service is duly performed once the Customer accepts the deliverable or the period specified in Article 3.5 of these Terms expires without comments. If the Customer does not respond within that period, the deliverable shall be deemed accepted.
7.1. Copyright works. If the outputs of the Graphic Design Services qualify as copyright works within the meaning of Act No. 121/2000 Coll., the Copyright Act, they are copyright works authored exclusively by the Service Provider.
7.2. Licence. Upon full payment of the fee for the Graphic Design Services, the Service Provider shall grant the Customer an exclusive licence, unlimited in time and territory, to use the copyright work for the purposes for which it is intended. The licence fee is included in the price of the Graphic Design Services. For the avoidance of doubt, no licence is granted before the fee for the Graphic Design Services has been paid in full, and the Customer is not entitled to use the relevant copyright work before such payment.
7.3. Source files. Delivery of source files (editable files) is not included in the standard scope of services. If the parties agree that source files will be delivered, this must be expressly stated in the quotation or order. In that case, the Customer is entitled to edit, modify, and complete the copyright works.
7.4. Portfolio. The Service Provider is entitled to publish the outputs of the Graphic Design Services and document the process of creating them for promotional purposes in the Service Provider's portfolio, in particular on social media, on websites, or in a portfolio sent to prospective clients, stating that the output was created for the Customer.
7.5. Indemnification. The Customer undertakes to indemnify the Service Provider against all third-party claims arising from the use of materials supplied by the Customer, including legal representation costs.
8.1. Termination. The Agreement may be terminated in the following ways:
a) by written agreement between the parties;
b) by either party withdrawing from the Agreement if the other party materially breaches the Agreement and fails to remedy the breach within 15 days of receiving a written notice to do so;
c) by the Service Provider terminating the Agreement with immediate effect if the Customer fails to pay an invoice that has been due for more than 15 days, or fails to provide cooperation requested by the Service Provider despite having previously been asked to remedy the situation;
d) by either party terminating the Agreement with immediate effect if the other party becomes insolvent or enters liquidation.
8.2. Consequences of termination. Termination of the Agreement does not affect the Service Provider's right to payment for Graphic Design Services performed up to the termination date. Deposits paid are non-refundable, unless the Agreement is terminated due to a material breach by the Service Provider. The licence to deliverables already delivered and accepted passes to the Customer only after all outstanding fees have been paid in full.
9.1. Governing law and jurisdiction. All legal relationships arising from the Agreement are governed by Czech law. The parties shall first seek to resolve any disputes amicably. If an amicable resolution cannot be reached, the courts of the Czech Republic with local jurisdiction determined by the Service Provider's registered address shall have jurisdiction to resolve the dispute.
9.2. Force majeure. Force majeure means unforeseeable circumstances beyond the control of the affected party, in particular natural disasters, epidemics, or cyberattacks. The occurrence of a force majeure event does not constitute a breach of the Agreement. If the impediment continues for more than 30 days, the parties undertake to begin negotiations on amending the terms of the Agreement.
9.3. Severability. The invalidity of any provision of these Terms does not affect the validity of the remaining provisions. The parties undertake to replace the invalid provision with a valid provision serving the same economic purpose within 14 days of receiving a request from the other party.
9.4. Communication. The parties shall communicate primarily by electronic means, using email or another communication tool they commonly use. An email or message sent in this way satisfies any requirement for written form imposed by the Agreement or these Terms.
9.5. Entire agreement. These Terms, together with the Agreement, order and/or quotation, constitute the entire agreement between the parties with respect to the subject matter of the Agreement and replace all previous arrangements between the parties concerning the same subject matter.
